Board
of Directors
The
members of the Board of Directors of the Agency are nine. According
to the articles 89, 90 and 91 of the Statute of the Agency:
“During
the Annual General Assembly of the Agency, 1/3 of each time’s
members of the Board of Directors have to resign from their posts
The members of the Board of Directors that due to resign are those
who have served at their position for the longest period of time
(since their last election). Any resigning member of the Board
of Directors is entitled to be re-elected”.
“The
empty positions of the members of the Board of Directors are fulfilled
through elections. The elections procedure is conducted during
the Annual General Assembly of the Agency and eligible of being
elected or re-elected are those who submit their candidature”.
Eligible candidates during the elections for the members of the
Board of Directors are all the shareholders of the Agency. According
to the articles 62 and 63 of the Statute of the Agency:
“With
reserve of any rights or restrictions that are each time attached
to any category or categories of shares, every member which is
(in person) at the Annual General Assembly has one vote by raising
its hand and, in case of elections, every member has one vote
for every share that it possess. In case of common possession
of shares, the vote of the senior shareholder is being accepted
and, for this purpose, the seniority is appreciated according
to the order by which the names of the shareholders are registered
in the matriculation book of the Agency”.
